The Terms and Conditions of the Warehouse
Credit note: A document issued to the client in events where the
client is entitled to compensation after both parties joint investigation and
agreement/understanding, related to the objected invoice, either in form of whole or
in part of the amount of the objected invoice, according to the value of the damage.
Such compensation shall not extend to monetary compensation.
• To the extent that any products intended for storage in Warehouse does not
violate or are prohibited by any laws and regulations, the service provider
agrees to store and transport the client’s said products, as may be agreed
between both parties from time-to-time. For such, this will be determined based
on each shipment delivered to the service provider.
• In compliance with local laws and regulations, including the Saudi Food and
Drug Authority, the service provider does not allow the storage of expired goods
within the warehouse, and in case of near expiration of the goods a letter or an
email will be sent to the client if the said goods are to expire within sixty
(60) days, so that the client procures to take immediate and appropriate action
to withdraw or dispose of such goods.
• The service provider is responsible for the accuracy of the entire stored
products as agreed in the SLA, upon his confirmation of the receipt of the
products. This is conditional upon accuracy of information and descriptions, and
correctness of all documentation provided by client in relation to the products.
• Service provider shall report shortages and damages per items received from
client during inbound operation, required reports and proofs from service
provider. Client has the right to inspect the received damages & shortages when
needed. The client may not claim these goods after submitting the detailed
reports and clarifications required from the service provider.
• Provides the appropriate space for loading and off-loading goods during
official working hours, up to the extent mutually agreed.
• Provides all necessary tools to deal with goods within the scope of work
assigned. Service provider reserves the right to inspect the Products and their
contents, as it deems appropriate to ensure compliance thereof with all laws,
regulatory controls and requirements.
• Provides security services around the clock including surveillance by
cameras.
• To obtain and maintain, before the start of, and during the Term all
necessary licenses issued by the competent authorities in the Territory for its
employees and/or its subcontractors, and to submit the copies of such license(s)
to the client at its request, at any given time during the Term.
• To receive the Goods from the client and further undertakes to ensure that
all documentation from the Supplier is complete and accurate (if any).
• Not to cause damage to the goods, including but not limited to their
contents, packaging, and labelling, while in storage at the Warehouse or in the
custody of the service provider.
• To inspect and count the number or package of the Goods upon receiving them
from the client at the Warehouse, in order for the service provider to ensure
that the quantities and/or specifications of the Goods are as per the documents
provided by the client. Wrapped pallets and any sealed cartons shall not be
opened and counted by the service provider.
• To conduct inventory cycle counts, annually and based on the client request.
• Covenants to pay all fees, costs, and charges under the Agreement in a timely
manner, whenever they are due.
• Provide a list of the authorized officials who are entitled to submit
applications relating to the receipt or transfer of the stored goods.
• ensure the safety and legality of the materials stored in the warehouses of
the service provider in all aspects as well as ensuring that such materials are
not dangerous, banned, restricted or of a nature that requires special care or
handling requirements. The source of these goods is legal and legitimate, and if
proven otherwise, the client will be responsible and liable to all governmental
and non-governmental entities, whereas Naqel Company will not be regarded as a
partner or contributor to any illegal act. Client further guarantees the
correctness and accuracy of all information, data and documents relating to the
Products.
• Remove all damaged and expired products from the service provider premises
within 30 days of notification.
• Service provider shall insure its own warehouses, facilitates and fixed
assets. On the other hand, Client shall insure the Products against all possible
risks while they are stored at the service provider Warehouse. Such insurance
policy shall remain valid through this contract term.
• Naqel shall not be liable for loss of goods due to inventory shortage or
unexplained or mysterious disappearance of goods unless the Customer establishes
such loss occurred because of Naqel’s failure to exercise the due care.
• Claims by the client must be presented in writing to Naqel within 48 hours
dispatch of goods by Naqel, and the customer should provide the claims documents
within 30 days from the day lose or damages. Each claim must contain information
necessary to identify the goods affected, the basis for liability and the amount
of the alleged loss or damage, as well as all appropriate supporting
documentation which must include: a summary of claims for both damaged and
shortages of items, and their appropriate claims designation, including claim
value (i.e. original invoices), and individual claim forms for each claim that
is supported by the report also provided.
• No action may be maintained by the client or others against Naqel for loss or
injury to the goods stored unless timely written claim has been given as
provided in paragraph (5.3) of this section and unless such action is commenced
either within week after date of dispatchby Naqel or within week after the
Customer of record is notified that loss or injury to part or all of the goods
has occurred, whichever time is shorter.
• All intellectual property rights provided under this Agreement remain the
property of the service Provider and shall include without limitation to
designs, plans, documents, data, specifications, development or improvement
services, or reports that are being developed by the cleint or its
subAgreementors for the benefit of the service Provider in which the client
shall refrain from usage, re-usage, copy or distribute without the written
consent of the service Provider.
• The client authorizes the service Provider to use the trademark and
commercial identity of the client for the purpose of enforcing the obligations
contained in this Agreement.
